中文摘要：负面清单管理模式是依据"法不禁止即自由"的法理设计的外资投资管理制度。在市场起决定性作用的资源配置过程中,对于市场准入的负面清单管理模式,市场主体之"法不禁止即自由"以及政府的"法无授权即禁止"的经济法路径在于,通过"负面清单"和"正面清单"明确市场和政府在资源配置中的的界限,以社会公共利益作为市场与政府在资源配置中"法律沉默空间"的"隐性清单",市场的自由和政府的干预都应该维护社会公共利益,以确保市场在资源配置中起决定性作用的公平正义。

外文摘要：Negative list approach is a system of foreign investment based on＂Absence of Legal Prohibition Means Freedom＂. In the process of allocating where market plays a decisive role,＂Absence of Legal Prohibition Means Freedom＂of market entities and＂Absence of Legal Authorization is Prohibited＂of government allow to clear the boundaries of＂negative list＂and＂positive list＂in the allocation of resources. The public interests of society,as the ＂hidden list ＂of ＂silent space of law＂,should be protected in the process of market freedom and government intervention so as to ensure the fairness and justice of market which plays a decisive role in the allocation of resources.
